Terms of Service

These Terms of Service ("Terms") govern your access to and use of VodClip ("VodClip", "we", "us"), including our website, Chrome extension, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you may not use the Service.

2. Description of the Service

VodClip is a platform that helps streamers and content creators download VODs from platforms such as Twitch and Kick, automatically identify viral moments using AI, and generate vertical short-form clips with animated captions. The Service includes a browser extension for local clipping and a cloud platform for AI-powered processing.

3. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

4. Your Content

You retain all rights to the content you submit, process, and export through the Service ("Your Content"). You are solely responsible for Your Content, including:

  • Ensuring you have the legal right to use and distribute the VODs, clips, and other materials you process.
  • Complying with the terms of service of any source platform (e.g., Twitch, Kick, YouTube).
  • Obtaining any required permissions, licenses, or consents from rights holders.
  • Not infringing the intellectual property, privacy, or publicity rights of any third party.

By using the Service, you grant VodClip a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content solely to provide the Service to you. We do not claim ownership of Your Content.

5. Acceptable Use

You agree not to use the Service to:

  • Infringe the copyright, trademark, or other intellectual property rights of others.
  • Distribute content you do not have permission to use.
  • Violate any applicable law or regulation.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service in a way that could damage, disable, or impair the Service or other users.
  • Automate interactions with the Service in a manner that abuses its resources.

6. Accounts and Subscriptions

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Credits

The cloud Service operates on a credit system. Clipping jobs are charged using the estimate shown before submission, based on requested clip count, target clip length, and analysis buffer. Cloud rendering is charged separately by output duration. Credits are non-refundable except where required by law.

Subscriptions

Paid subscriptions (e.g., Pro Creator) are billed monthly through our payment processor, Dodo Payments. Subscriptions renew automatically until cancelled. You can manage or cancel your subscription at any time through your billing portal. You will retain access to paid features until the end of your billing period.

7. Free Local Clipping

The browser extension's local clipping features — downloading VODs, segments, and native clips entirely within your browser — are provided free of charge and without a subscription. Cloud AI processing, auto-publishing, and advanced rendering may require credits or a paid plan.

8. Fair Use of Resources

We may impose reasonable limits on usage to protect Service availability, including caps on concurrent jobs, processing queues, and API rate limits. We may suspend or throttle accounts that consume resources in a manner we reasonably determine is abusive or excessive.

9. Intellectual Property

The Service, including its software, design, text, graphics, and logos, is owned by VodClip and protected by intellectual property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, or create derivative works from any part of the Service.

10. Third-Party Links and Services

The Service may contain links to third-party websites, such as Twitch, Kick, YouTube, and social platforms. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to their own terms and policies.

11. Copyright and DMCA

We respect the intellectual property rights of others and expect our users to do the same. If you believe your copyrighted work has been used on our Service in a way that constitutes copyright infringement, please submit a notice through our DMCA Takedown Form or contact us at the address below. We will respond to valid notices in accordance with applicable law.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. PROCESSING TIMES AND OUTPUT QUALITY MAY VARY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VODCLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless VodClip and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, without prior notice, if we reasonably determine you have breached these Terms or that your conduct harms the Service or other users. Upon termination, your right to use the Service ceases, but provisions of these Terms that by their nature should survive will survive, including sections on intellectual property, disclaimers, and limitation of liability.

16. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in your jurisdiction of residence, without regard to its conflict of law provisions. You agree that any legal disputes arising from these Terms will be resolved in the courts of competent jurisdiction where VodClip is established.
